CEORater Terms of Service

Welcome to CEORater. These Terms of Service ("Terms") govern your use of the CEORater website and service (the "Service") operated by CEORater / TEK2day Holdings / Cycad Capital, LLC ("we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms.

1. Service Description

CEORater is a software-as-a-service (SaaS) platform that provides CEO performance data and analytics. Our Service aggregates publicly available data to generate performance metrics and analytics.

2. Subscription Terms

CEORater is offered as a subscription service with the following terms:

• Pricing: $99 per user per month
• Free Trial: New subscribers receive a 7-day free trial. Your payment method will be charged at the end of the trial period unless you cancel before the trial ends.
• Billing Cycle: Subscriptions are billed monthly on the anniversary of your subscription start date.
• Per-User License: Each subscription is for a single user and may not be shared.

3. Payment Processing

All payments are processed by Paddle.com Market Limited ("Paddle"), our Merchant of Record. Paddle handles all billing, payment processing, and related customer service for subscription transactions. By subscribing to CEORater, you also agree to Paddle's Terms of Service.

4. Cancellation and Refunds

Cancellation: You may cancel your subscription at any time through your account's subscription management portal. Upon cancellation:

• Your access will continue until the end of your current billing period.
• No further charges will be made after cancellation.

Refunds: You may request a full refund within 14 days of your initial purchase or any renewal payment. Refund requests made after 14 days will not be honored. To request a refund, click here.

Refund Eligibility: We reserve the right to deny refund requests in cases of suspected abuse, including but not limited to excessive data extraction or API usage prior to the refund request.

5. Account Responsibilities

When you create an account with us, you agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account
• Use the Service only for lawful purposes

6. Acceptable Use

You agree not to:

• Share your account credentials with others
• Attempt to gain unauthorized access to our systems
• Use automated tools to scrape or extract data from the Service
• Redistribute, resell, or republish our content without permission
• Use the Service in any way that violates applicable laws

7. Intellectual Property

The Service, including all content, features, and functionality (including but not limited to our proprietary rating methodology, text, graphics, logos, and software), is owned by CEORater and is protected by copyright, trademark, and other intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable license to access and use the Service for your personal or internal business purposes only.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

9. Disclaimer of Warranties

We make no guarantees regarding the accuracy, completeness, or reliability of any ratings, scores, or analytics provided through the Service. All information is provided for informational purposes only.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CEORATER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Service
• Any investment or financial decisions made based on information from the Service
• Unauthorized access to your account or data
• Any third-party conduct on the Service

Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Termination

We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after changes are posted constitutes your acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.
